Terms and Conditions for Wholesale Manufacturing

1. General Acceptance of Terms This agreement governs all purchase orders (POs), manufacturing, and supply services provided by Rapnix International. Your submission of a PO constitutes your full acceptance of these terms, which override any of the buyer’s standard purchasing conditions.

2. Order & Pricing

  • Minimum Order Quantity (MOQ): We strictly accept wholesale, bulk orders only. All orders must meet the current MOQ specified by Rapnix International per product type.
  • Pricing: Quoted prices are valid for the period stated and are fixed upon the issuance of our final Proforma Invoice. Prices do not include local taxes, import duties, or customs fees, which are the buyer’s responsibility.
  • Payment Terms: All orders require 100% advance payment. Full payment of the total Proforma Invoice value is required upon Order Confirmation to initiate production and secure your manufacturing slot.
  • Production Start: We begin no production until the full payment has been successfully processed and confirmed.

3. Customization and Approval

  • Design Ownership: The buyer warrants that all supplied designs, logos, and materials do not infringe on any third-party intellectual property rights.
  • Sample Approval: Production begins only after the buyer provides formal, written approval of the final product sample or prototype (Tech Pack Approval).
  • Changes: Any design changes requested after Tech Pack Approval will incur additional costs and may result in a revised production schedule.

4. Shipping, Delivery, and Risk

  • Incoterms: All goods are supplied under the Incoterm FOB Sialkot (or other agreed-upon term), at which point the risk of loss transfers entirely to the buyer.
  • Delivery: Delivery dates are estimated. We are not liable for delays caused by shipping carriers, customs clearance, or other events of force majeure.
  • Inspection: The buyer must inspect goods upon receipt. You have seven (7) days from the delivery date to notify us in writing of any material shortage or verifiable manufacturing defect.

5. Limited Warranty & Claims

  • Warranty: We warrant that goods will conform to the approved final sample and be free from material manufacturing defects for ninety (90) days from the delivery date.
  • Remedy: For verified defects, our sole obligation is repair, replacement, or credit for the faulty items. We do not accept retail returns and are not liable for wear and tear, misuse, or any consequential damages.

6. Governing Law This agreement is governed by the laws of Pakistan.
